Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website at highstake.app and its subdomains (the "Site"), operated by Highstake LLC ("Highstake," "we," "us"). By accessing the Site you agree to these Terms. If you do not agree, do not use the Site.

01No offer or solicitation

The Site is provided for general information only. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or managed-account service, nor investment, legal, tax, or accounting advice, in any jurisdiction where such an offer, solicitation, or advice would be unlawful. Any investment relationship with Highstake is established solely through, and governed exclusively by, a separately executed managed-account or subscription agreement (the "Investment Agreement"). In the event of any conflict, the Investment Agreement controls.

02Eligibility

Highstake operates on a private-placement basis. Its strategy is offered only to qualified allocators who meet the applicable minimum allocation threshold and any suitability, eligibility, and jurisdictional requirements set out in the Investment Agreement. Information on the Site is directed only at such persons and is not intended for retail distribution.

03Performance information

Performance figures, statistics, and illustrations on the Site are historical, are net of trading, funding, and commission costs (and, unless otherwise stated, before performance fee), and are provided for informational purposes. Past performance is not indicative of future results. Benchmark comparisons (such as BTC or the S&P 500) are shown for directional context only. Please review our Risk Disclosure for the risks associated with the strategy.

04Intellectual property

The Site and its content, including text, design, graphics, logos, the Highstake name and wordmark, tear sheets, and methodology materials, are owned by Highstake or its licensors and are protected by applicable intellectual-property laws. You may view and download materials for your own internal evaluation only. You may not copy, reproduce, republish, distribute, or create derivative works without our prior written consent.

05Confidentiality

Tear sheets, due-diligence materials, and other documents marked confidential or provided on request are confidential and intended solely for the named recipient. You agree not to disclose or distribute them without our prior written consent.

06No warranty

The Site is provided "as is" and "as available" without warranties of any kind, whether express or implied, including as to accuracy, completeness, fitness for a particular purpose, or uninterrupted availability. While we aim to keep information current, we do not warrant that the Site is free of errors or omissions.

07Limitation of liability

To the maximum extent permitted by law, Highstake and its members, officers, and agents will not be liable for any indirect, incidental, consequential, or special damages, or for any loss arising from your use of, or reliance on, the Site or its content.

08Third-party links

The Site may link to third-party websites or services. We do not control and are not responsible for their content, policies, or practices. Links are provided for convenience only and do not imply endorsement.

09Governing law

These Terms are governed by the laws of Saint Vincent and the Grenadines, without regard to its conflict-of-laws principles. Any dispute relating to the Site will be subject to the exclusive jurisdiction of the courts of Saint Vincent and the Grenadines, except where the Investment Agreement provides otherwise for matters within its scope.

10Changes

We may update these Terms from time to time. Changes take effect when posted, with the "Last updated" date revised accordingly. Your continued use of the Site constitutes acceptance of the updated Terms.
